By accessing or using the Nuviter mobile application, website, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not access or use the Services.

1) Who We Are; Scope of Services (No Investment Advice)

Nuviter LLC (“Nuviter,” “we,” “us,” or “our”) provides a technology platform offering investment research tools, educational content, AI-assisted summaries, portfolio visualization and analytics, and community features such as groups and discussions.

No Investment Advice

Nuviter does not provide investment, brokerage, tax, legal, or accounting advice. Nothing on the Services constitutes a recommendation, solicitation, or endorsement to buy, sell, or hold any security or investment strategy.

No Fiduciary Duty

Your use of the Services does not create a fiduciary, advisory, or agency relationship between you and Nuviter.

Educational Use Only

All content, analytics, AI-generated outputs, scores, summaries, or visualizations are provided for informational and educational purposes only and may be inaccurate, incomplete, delayed, or unreliable.

You are solely responsible for your investment decisions.

2) Eligibility & Accounts

• You must be at least 13 years old (or the minimum age required in your jurisdiction).

• If you are under 18, you may use the Services only with parental or guardian consent.

• You are responsible for maintaining accurate account information and safeguarding your credentials.

• You may not share accounts or misrepresent your identity.

3) License & Acceptable Use

3.1 Limited License

Subject to these Terms, Nuviter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.

3.2 Prohibited Conduct

You agree not to:

• Provide unlicensed financial or investment advice

• Coordinate or promote market manipulation or trading schemes

• Misrepresent portfolio ownership, performance, or results

• Scrape, harvest, or commercialize data without authorization

• Reverse engineer or interfere with the Services

• Use the Services to create competing products

• Upload malware or unlawful content

Violation may result in suspension or termination.

4) Content & Intellectual Property

4.1 Nuviter Content

All software, designs, analytics, frameworks, AI systems, trademarks, and content are owned by Nuviter or its licensors and protected by intellectual property laws.

4.2 User Content & Community Features

You may post content in groups or community areas (“User Content”).

By submitting User Content, you grant Nuviter a worldwide, royalty-free, sublicensable license to host, store, display, and use such content solely to operate and improve the Services.

You acknowledge:

• User Content may be visible to others

• Nuviter does not endorse User Content

• You are solely responsible for your User Content

We may moderate or remove content at our discretion.

5) Third-Party Content, Market Data & Integrations

The Services rely on third-party data providers, APIs, and services (including market data, news, filings, and brokerage integrations).

We do not control or guarantee the accuracy, completeness, or timeliness of third-party data and disclaim all responsibility for it.

6) Portfolio Tracking & Brokerage Connectivity (SnapTrade)

6.1 Role of Nuviter (No Brokerage, No Advice)

Nuviter is a technology platform only and is not:

• A broker-dealer

• An investment adviser

• A commodity trading advisor

• A custodian

• Registered with the SEC, FINRA, CFTC, or any state regulator

Nuviter does not:

• Execute or route trades

• Provide discretionary portfolio management

• Hold or custody funds or securities

6.2 Third-Party Brokerage Connectivity

If you connect a brokerage account, you do so via a third-party provider such as SnapTrade. Brokerage services are provided solely by third-party brokerages and aggregators.

Nuviter’s access is limited to the permissions you explicitly grant and is used only to display portfolio data and generate analytics.

6.3 Authorization & Data Reliability

By connecting an account, you authorize Nuviter and its third-party providers to access and process your data in accordance with our Privacy Policy.

You acknowledge:

• Portfolio data may be delayed, estimated, incomplete, or inaccurate

• Prices and performance are not guaranteed to be real-time

• Errors may occur due to third-party systems or APIs

6.4 No Fiduciary Relationship

No fiduciary, advisory, or agency relationship is created through portfolio connectivity.

7) AI-Generated Outputs

AI-generated summaries, insights, or analytics:

• May be inaccurate or outdated

• Are not a substitute for professional advice

• Should not be relied upon as the sole basis for decisions

We may modify or discontinue AI features at any time.

8) Subscriptions, Pro Features & Billing

8.1 Free & Paid Plans

Some features require a paid subscription (“Pro”). Features and pricing may change.

8.2 Billing & Renewals

Subscriptions are billed via Apple App Store or Google Play and renew automatically unless canceled through the platform.

8.3 Cancellations & Refunds

Manage subscriptions through your app store account. Fees are non-refundable except where required by law.

9) Privacy

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and share information. In case of conflict, the Privacy Policy controls.

10) Communications & Electronic Consent

You consent to receive electronic communications regarding your account, updates, and legal notices.

11) Third-Party Links & Services

We are not responsible for third-party websites, services, or content. Use them at your own risk.

12) App Stores; Third-Party Beneficiaries

If you downloaded the app from Apple or Google:

• These Terms are between you and Nuviter

• Apple and Google are third-party beneficiaries

• Apple and Google have no responsibility for the Services

13) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVITER DISCLAIMS ALL WARRANTIES, INCLUDING ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Past performance does not guarantee future results.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVITER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nuviter’s total liability shall not exceed the greater of:

• Amounts paid to Nuviter in the prior 12 months, or

• $100 USD

15) Indemnification

You agree to indemnify and hold harmless Nuviter from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

16) Suspension & Termination

We may suspend or terminate access at any time for any reason, including suspected violations or security concerns.

17) Compliance; Export & Sanctions

You must comply with all applicable laws, including export control and sanctions laws.

18) Beta & Experimental Features

Beta features are provided “as is,” may be unstable, and may be discontinued at any time.

20) Governing Law; Venue; Jury Trial Waiver

These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-laws rules. You waive any right to a jury trial where permitted.

21) Arbitration & Class Action Waiver

Disputes shall be resolved by binding arbitration on an individual basis, except where prohibited by law. You may opt out within 30 days of acceptance.

22) Changes to These Terms

We may update these Terms at any time. Continued use constitutes acceptance of changes.

23) Miscellaneous

These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
